Terms of Service | PaxRent | Stress-Free Property Management

These Terms of Service ("Terms") govern your access to and use of the PaxRent platform, including the website, web application, and related services (collectively, the "Service") operated by PaxRent ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

PaxRent is a property management software platform that provides tools for property managers, property owners, tenants, and maintenance vendors. Features include but are not limited to:

Property and unit management
Lease tracking and document management
Tenant and owner portals
Maintenance request management and vendor coordination
Rent collection and payment processing
Financial reporting and owner statements
Communication tools (email, SMS, in-app notifications)
Move-in/move-out task management

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. User Roles and Access

The Service supports multiple user roles including administrators, property managers, tenants, property owners, and maintenance technicians. Your access to features is determined by the role assigned to you by your organization's administrator. Each role has specific permissions and responsibilities within the platform.

5. Payment Terms

Certain features of the Service require a paid subscription. Payment terms, pricing, and billing cycles are established at the time of subscription. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice to active subscribers.

Rent payments processed through the platform are facilitated by Stripe, our third-party payment processor. PaxRent does not directly handle or store payment card information. All payment processing is subject to Stripe's terms of service and privacy policy.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Upload or transmit viruses, malware, or other harmful content
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
Use the Service to harass, abuse, or harm other users
Scrape, data-mine, or otherwise extract data from the Service without authorization
Resell or redistribute the Service without written consent

7. Data and Content

You retain ownership of all data and content you submit to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you. We do not claim ownership of Your Content.

You are responsible for ensuring that Your Content does not violate any third-party rights or applicable laws. We may remove content that violates these Terms.

8. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. SMS Communications

The Service includes optional SMS messaging for property management notifications. SMS opt-in is a separate, discrete consent action and is not bundled with these Terms or the Privacy Policy. Accepting these Terms does not enroll you in SMS communications. You must explicitly enable SMS notifications per category in your account settings before any SMS will be sent. See our SMS Terms & Conditions and SMS opt-in flow for details. Message and data rates may apply. You can opt out at any time by replying STOP or adjusting your notification preferences.

10. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Twilio (SMS), and others. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services. A full list of third-party processors is available on our Subprocessors page.

11. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by PaxRent and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or other brand features without written consent.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

13. Limitation of Liability

To the maximum extent permitted by law, PaxRent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Indemnification

You agree to indemnify, defend, and hold harmless PaxRent and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

16. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Service if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period following termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wyoming.

18. Changes to Terms

We may modify these Terms at any time. We will notify active users of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
